Company registration in France: the decisions in order

Company registration in France comes down to one online filing, but the file is built from decisions settled beforehand: whether the company should be a SARL or a SAS, where its registered office in France will be, how the share capital is deposited in a blocked account, who will run the company and what the statuts provide, and the legal notice of formation, published in an authorized journal once the statuts are adopted and before anything is filed. The file then goes through the INPI one-stop business formalities portal, and the commercial-court registry (Greffe) enters the company in the trade and companies register (RCS).

SARL or SAS: what actually separates them

The company structure is a choice between a limited liability company (SARL) and a simplified joint stock company (SAS). On ownership and liability they look alike. Two points set them apart. One is the rulebook: SARL governance is largely fixed by statute, while SAS statuts are drafted freely, so voting, share transfers and management follow what the shareholders write. The other is who may run the company. A SARL gérant must be an individual, while a SAS can have a company as its président. A parent company that wants to be the manager of its French subsidiary itself therefore needs the SAS, or its single-shareholder form, the SASU.

At least 50% of the registered capital must be paid in cash before company incorporation. If the cash deposit is less than 100% of the registered capital, an auditor is required for contribution in kind. Thus TKEG Expat recommend paying 100% of the registered capital in cash.

Why the file follows the ownership chain

A French registration file identifies two groups of people: those who will run the company and those who ultimately own it, and it is the second group that makes a file grow. The beneficial-owner declaration is made with the registration itself, and any notary, lawyer, accountant or company service provider involved in a formation is an obliged entity under EU anti-money-laundering law, required to know whom it is acting for. A shareholder that is itself a company therefore does not close the question: its ownership is followed up the chain until it reaches individuals. That is why the paperwork depends on the length of the ownership chain, not on whether the company is a SARL or a SAS.

Two conditions to meet before the filing

Both conditions have to be met before the filing can start. The company needs a registered office in France: a commercial lease, a domiciliation provider, or the legal representative's own home, the last limited to five years under Article L123-11-1 of the Commercial Code, so where the legal representative lives outside France, the home option falls away. The capital is settled in advance as well. It is paid into a blocked account, the depositary's certificate becomes part of the registration file, and the money stays out of reach until the company is registered.

What a new French company meets first on tax

The corporate tax rate is not the first tax question for a new business in France. Once registered, it must activate its VAT number, and a company that moves goods into or out of the EU also needs an EORI number for customs. A SAS is subject to corporate income tax (impôt sur les sociétés, IS) by default, although a qualifying young company may opt temporarily for personal income tax (IR), so the tax regime is worth checking alongside the legal form. Nor is an audit a start-up cost: a statutory auditor (commissaire aux comptes) becomes mandatory only once the company crosses two of three size thresholds, on total assets, turnover and headcount.

Conclusion

After the Kbis: releasing the capital

Company formation ends with the company entered in the RCS, a Kbis extract and a SIRET number, after which the formation notice appears in the BODACC, the official bulletin of civil and commercial notices. The Kbis is the document every later step asks for, and the first of those steps concerns the capital: the depositary keeps the blocked funds until it is shown proof of registration and only then releases them to the company. So the one thing to do next is to take the extract to the depositary so the funds move to the account the company will trade from.
