All Estonian companies are required to file an annual corporate income tax return, even if the company is not in business. The Estonian income tax rate is 20%. Estonian companies must submit their financial statements within six months of the end of their fiscal year (generally January 1 to December 31) or, if your company's fiscal year does not coincide with the calendar year, within three months of the end of that fiscal year.

Under the Estonian Commercial Code, if net assets fall below half of the share capital or below the statutory minimum, the management board must convene a shareholders' meeting and propose remedies (pay in or increase/reduce capital, restructure, or dissolve). A company whose registered capital was never paid in should either pay in the capital, begin trading to generate revenue, or remain dormant but file an annual management report each year explaining the situation; otherwise it is non-compliant.
